1. Agreement to Terms
By accessing or using the Ryze AI MCP platform ("Service"), you ("Client") agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms constitute a binding legal agreement between you and Meow AI, LLC (operating as Ryze AI), a Delaware limited liability company ("Ryze AI," "we," "us," or "our").
2. The Service
Ryze AI provides a Model Context Protocol (MCP) platform that connects to your advertising and analytics accounts, including:
- Google Ads — read, write, and edit access
- Meta Ads (Facebook / Instagram) — read, write, and edit access
- Google Analytics — read, write, and edit access
You acknowledge that Ryze AI does not control these third-party platforms and that their availability depends on their own uptime, API policies, and the access permissions you grant.
3. Subscriptions and Payment
3.1 Subscription Plan
Access to the Service is provided on a monthly subscription basis at the rate displayed at checkout. Current pricing is USD $350.00 per month.
3.2 Billing
All payments are processed via Stripe. By subscribing, you authorize Ryze AI to charge your payment method on file at the start of each billing cycle, in advance. You are responsible for maintaining valid payment information.
3.3 Failed Payments
If a payment fails, Stripe will retry automatically. If the payment is not resolved within 3 business days, we may suspend your access to the Service until payment is received.
3.4 Taxes
Prices are exclusive of applicable taxes. You are responsible for all sales, use, VAT, or similar taxes arising from your use of the Service.
3.5 Price Changes
We may change subscription pricing with at least 60 days' written notice before your next renewal date. Continued use of the Service after a price change constitutes acceptance.
4. Seats and API Usage
Your subscription includes up to 5 (five) authorized users. You may not share access credentials or exceed your seat limit without purchasing additional seats. API usage is subject to fair use limits as determined by Ryze AI.
5. Cancellation and Termination
5.1 Cancellation by You
You may cancel your subscription at any time by providing 7 (seven) calendar days' written notice to hello@get-ryze.ai or through your account settings. No refunds are issued for prepaid, unused portions of the current billing cycle.
5.2 Termination by Ryze AI
We may suspend or terminate your access immediately if you: (a) violate these Terms; (b) use the Service in violation of applicable law or any third-party platform's terms; or (c) fail to pay fees when due.
5.3 Effect of Termination
Upon termination, your access to the Service ends immediately. We will make your data available for export for 30 days, after which it may be permanently deleted.
6. Acceptable Use
You agree not to:
- Resell, sublicense, or provide access to the Service to any third party
- Reverse engineer or attempt to extract the source code of the Service
- Use the Service to build a competing product
- Circumvent usage limits, access controls, or security measures
- Use the Service in violation of Google's, Meta's, or any other platform's terms of service
- Upload or transmit malicious code or harmful content
7. Your Data
7.1 Ownership
You retain all rights to data you provide to the Service or generated on your behalf ("Client Data"). You grant Ryze AI a limited license to process Client Data solely to provide, maintain, and improve the Service. For the avoidance of doubt, "improve" refers to enhancing service reliability, performance, and features — not training or fine-tuning AI models on your data (see Section 7.4).
7.2 Your Responsibility
You are responsible for ensuring you have the rights and permissions to connect your advertising and analytics accounts to the Service.
7.3 Security
We implement commercially reasonable security measures to protect Client Data. In the event of a confirmed data breach affecting your data, we will notify you without undue delay.
7.4 No Use of Client Data for AI Training
Ryze AI does not use customer ad account data, campaign performance data, or user queries to train or fine-tune its AI models. Customer data is used solely to deliver the Services and is not shared with third parties for model training purposes.
8. Intellectual Property
The Service, including all underlying technology, software, algorithms, and documentation, is owned by Ryze AI and protected by applicable intellectual property laws. These Terms grant you no ownership rights in the Service. You retain all intellectual property rights in your advertising content, campaigns, and brand assets.
9. Confidentiality
Each party agrees to keep the other's non-public business information confidential and not to disclose it to third parties without prior written consent. This obligation survives termination of these Terms for 3 years.
10. Disclaimers
The Service is provided "as is" and "as available." Ryze AI makes no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free from security vulnerabilities. Third-party platform availability (Google, Meta) is outside our control.
11. Limitation of Liability
To the maximum extent permitted by law, Ryze AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, or data.
Our total liability to you for any claim arising from these Terms or your use of the Service shall not exceed the total fees paid by you in the three (3) months preceding the claim.
12. Indemnification
You agree to defend, indemnify, and hold Ryze AI harmless from any claims, damages, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service in violation of these Terms or applicable law; (b) your advertising content or campaigns; or (c) your violation of any third-party platform's terms of service.
13. Governing Law and Disputes
These Terms are governed by the laws of the State of California, USA. Any disputes shall be resolved in the state or federal courts located in San Francisco County, California. You irrevocably consent to jurisdiction in such courts.
Before initiating any legal proceedings, the parties agree to attempt good-faith resolution within 15 business days of written notice of the dispute.
14. Changes to These Terms
We may update these Terms at any time. We will notify you by email at least 14 days before material changes take effect. Continued use of the Service after that date constitutes acceptance of the updated Terms.
15. General
- Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Ryze AI regarding the Service.
- Severability. If any provision is found unenforceable, the remaining provisions remain in full effect.
- Waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
- Assignment. You may not assign these Terms without our written consent. We may assign in connection with a merger or acquisition.
- Independent Contractors. The parties are independent contractors. No partnership, joint venture, or employment relationship is created.
- Electronic Agreement. You agree that accepting these Terms electronically (including by completing a Stripe checkout) is legally binding.
